Terms of Service

1. Acceptance of Terms

By creating an Accedo account or otherwise accessing or using the Accedo service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

Accedo is a policy-management and e-signature platform that helps organizations distribute policies, collect acknowledgments and electronic signatures, and maintain auditable records of compliance. We may add, remove, or change features over time. We will make reasonable efforts to notify paying customers of material changes that reduce core functionality.

3. Account Registration

One Accedo account (tenant) is provisioned per organization. You agree to provide accurate, complete, and up-to-date information when creating your account, and to keep that information current. You are responsible for all activity that occurs under your account, including the actions of your users and administrators.

You must keep your credentials confidential and notify us promptly at legal@yesaccedo.com if you believe your account has been compromised.

4. User Responsibilities & Acceptable Use

You agree that you will not, and will not allow your users to:

  • use the Service for any unlawful, infringing, or fraudulent purpose;
  • upload or distribute content that is defamatory, harassing, obscene, or that infringes the intellectual-property or privacy rights of others;
  • send unsolicited commercial communications ("spam") through the Service;
  • attempt to probe, scan, or test the vulnerability of the Service, or interfere with its operation or the operation of other customers;
  • reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent permitted by law.

Shared email deliverability. Accedo sends transactional email (policy notifications, signature requests, reminders) using a shared sending infrastructure. Excessive bounce rates, spam complaints, or sending to invalid addresses can harm deliverability for all Accedo customers. You agree that we may throttle, suspend, or terminate email sending for your account if your usage harms the shared deliverability reputation of the platform.

5. Privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge the collection and processing of personal data as described there.

6. Intellectual Property

Accedo and its licensors retain all right, title, and interest in and to the Service, including all software, designs, and trademarks. You retain ownership of the content you upload to the Service (your policies, user data, and signatures). You grant Accedo a limited licence to host, process, and display that content solely for the purpose of providing the Service to you.

7. Electronic Signatures

The Service allows you and your users to sign policies and acknowledgments electronically. You agree that:

  • electronic signatures collected through Accedo have the same legal force and effect as handwritten signatures under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and equivalent laws in other jurisdictions where permitted;
  • before signing, each signer is shown a clear consent notice describing what they are signing and that they are providing a legally-binding electronic signature;
  • signers may withdraw consent to use electronic signatures at any time, but doing so may prevent them from completing assigned policies or acknowledgments within Accedo.

Accedo captures and retains an audit trail for each electronic signature (including timestamp, IP address where available, and the signer's identity) so that the signature can be authenticated in the event of a dispute.

8. Termination

By you. You may cancel your account at any time by contacting legal@yesaccedo.com or through any in-product self-service mechanism we make available. Cancellation takes effect at the end of your current billing period; no partial refunds are provided for unused time.

By Accedo. We may suspend or terminate your account, with or without notice, if we reasonably believe you have materially violated these Terms, if your account has been inactive for an extended period, if your payment is more than 30 days overdue, or if we are required to do so by law.

On termination, we will retain your data for a period consistent with your subscription tier's data-retention policy, after which we will permanently delete it. You may request an export of your data before termination takes effect.

9. Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, Accedo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Accedo does not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, Accedo's total liability arising out of or relating to these Terms or the Service, for any cause whatsoever, will not exceed the amount you paid to Accedo in the 12 months preceding the event giving rise to the claim. In no event will Accedo be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.

10. Changes to Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, make a reasonable effort to notify active tenant administrators by email or in-product notice. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not agree to the updated Terms, you should stop using the Service and may cancel your account under section 8.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
